These Terms apply to all users of, and visitors to, our Website and are an agreement between the User (the “you/your/User”) and HERITAGE M&A RESEARCH INSTITUTE which operates the Website (“Heritage”, the “Company”, “we”, “our” or “us” and together with you, the “Parties”).  

By using the Website, you are accepting and agreeing to be bound by these Terms, our Cookie Policy and our Privacy Policy. If you do not agree to the terms of these documents, please refrain from using the Website immediately.

You are advised to check these Terms regularly to ensure that you are aware of and are complying with the current version. Changes are binding and will take effect immediately from posting of the revised documentation on our websites or within our mobile applications. You agree to be bound by such variation and your continued use of our site shall constitute your acceptance of such variation.

By clicking the “Accept” button (or by creating an account on the Website, where available (“Account”), using the Website or Heritage’s services (the “Services”), you confirm that you understand and agree to these Terms, together with any documents that may be expressly referred to and are incorporated by reference. 

If you do not agree with all of the provisions of these Terms, you are prohibited from accessing, using, benefiting from the Services or using the Website.

These Terms constitute a legal agreement between you and Heritage and govern your access to and use of the Website, including any content, functionality, and services offered (including the Services) on or through Heritage / Website.

Heritage reserves the right to change or modify these Terms at any time and at our sole discretion. You agree and understand that by accessing or using the Website following any change to these Terms, you are regarded as having agreed to the revised Terms.

• Eligibility

Heritage has sole and absolute discretion to allow or disallow your access to the Website.

By agreeing to these Terms, you represent and warrant that:

(i) You have the full right, power, and authority to agree to these Terms as you are a minimum of eighteen (18) years old (measured according to the Gregorian calendar) with full legal capacity;

(ii) You are not subject to any financial sanctions, embargoes or other restrictive measures imposed by the United Nations, European Union, any EU country, UK Treasury or US Office of Foreign Assets Control (OFAC), or any governmental authority in any jurisdiction in which the Website is available;

(iii) You are not a citizen or resident of a (i) a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country; or are (ii) listed on any U.S. Government list of prohibited or restricted parties;

(iv) You are not impersonating any other person;

(v) You will not use the Website if any applicable laws in your country prohibit you from doing so in accordance with these Terms;

(vi) You are compliant with all applicable laws to which you are subject;

(vii) You have read, understood and agreed to our Privacy Policy which is available within the Website.

• Website Account

You may have the option to create an Account to use the Website and provide your name, date of birth, gender, country of residence, phone number and email address. 

We may, in our sole discretion, require you to provide further information and/or documents at any stage during your use of the Website. We may, in our sole discretion, refuse, decline, suspend or disable your access or use of the Website.

In order to access our services and certain restricted parts of the Website you may be required to register as a “Buyer”, “Seller” or “Partner” (“Registered User”). Please note that any application to register on the Website may be rejected.

In order to become a “Registered User” you will be required to follow a registration process. Firstly, you will be required to submit some basic details about yourself (including your name and email address) and shall be prompted to choose a unique username and password and may be asked to provide answers to certain security questions. These are the methods used by us to identify you and so you must keep them secure at all times. You will then be required at this point to submit detailed information about either yourself, the property you wish to sell or the property you co-own, as applicable. We will also require you to provide proof of identity and proof of your current address, (or that of the relevant business’ directors, partners or representatives as appropriate) in order to comply with our anti-money laundering obligations. Applications to become a Registered User on the Website will be subject to an approval process and may be accepted or rejected by us in our sole discretion. You warrant, represent and undertake that the information you provide about yourself during the registration process is accurate, current and complete.

As a Registered User, you may be required to accept and adhere to additional terms and conditions, as applicable (“Additional Terms of Use”). These Terms should be read alongside and shall apply in addition to the Additional Terms of USe (all made available during our registration process or thereafter).

• Changes to the Website

We may in our absolute and sole discretion change, update, amend, remove, or discontinue any part of the Website, the Services and the Content (as defined below) at any time without prior notice to you.

• Your Use of the Website and Conduct

We hereby grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Content (as defined below). Our grant of such license is subject to the following conditions.

For the sake of clarity, “Applicable Laws” shall mean any law, rule, statute, subordinate legislation, regulation, by-law order, ordinance, protocol, code, guideline, treaty, policy, notice, direction or judicial, arbitral, administrative, ministerial or departmental judgment, award, decree, treaty, directive, or other requirement or guideline published or in force at any time which applies to or is otherwise intended to govern or regulate any person (including all Parties), property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any governmental or regulatory authority;

(iii) Use the Website, or your Account to engage in any activity which operates to defraud Heritage, other users, or any other person, or to provide any false, inaccurate, or misleading information to Heritage;

(iv) Use the Website, or your Account to upload content that contains or is infected with viruses, malicious codes, Trojan horses, is immoral or illegal, or contains any other harmful or deleterious program or use any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;

(v) Modify or adapt the whole or any part of the Website or incorporate the Website into any other program or application;

(vi) Disassemble, decompile, reverse-engineer or otherwise attempt to derive the source code, object code, underlying concepts, ideas and algorithms of the Website or any components thereof;

(vii) Use the Website, or your Account in any manner that would lead to infringement of our, our affiliates’ or any third party’s intellectual property rights, including without limitation any copyright, patent or trademark. You undertake not to take or attempt to take any action or claim ownership of any property that infringes or would infringe upon our intellectual property interests;

(viii) Use the Website, or your Account in a way that could damage, disable, impair or compromise the Website or the provision of the Website or interfere with other users or affect the reputation of Heritage;

(ix) Take any action to gain or attempt to gain unauthorized access to the accounts of other users or the Website, including any server, computer or database connected thereto;

(x) Take any action that imposes an unreasonable or disproportionately large burden or load on Heritage’s infrastructure (including, but without limitation to our servers, networks, data centres and related or like equipment) and detrimentally interfere with, intercept or expropriate any system, data or information belonging to other users of the Website;

(xi) Attempt to attack the Website via a denial-of-service attack or a distributed denial-of-service attack;

(xii) Use the Website for the purpose of harming or attempting to harm minors in any way;

(xiii) Copy, reproduce, alter, modify, create derivative works from, or publicly display, any part of any content or data from our Website without our prior written permission;

(xiv) Use any automated process to interfere or attempt to interfere with the proper functioning of the Website or any transaction or process being conducted thereon or through it;

(xvi) As certain parts of the Website are protected by passwords or require a login. You must not obtain or attempt to obtain unauthorised access to such parts, or to any other protected materials or information, through any means not intentionally made available by us for your specific use;

(xvii) Engage in any other activities deemed inappropriate by us or which is in contravention of these Terms or any applicable laws; and/or

(xviii) Provide false, inaccurate, incomplete or misleading information to Heritage or any of its affiliates or third-party services providers. 

• Intellectual Property

Unless otherwise indicated by us, the Website, all content, and other materials contained therein, including, without limitation, the Heritage logo, any designs, drawings, prints, images or photography in any form or media logos, taglines, drawings, audio files, collectibles, memorabilia or game assets that may be associated with any digital file, that may be owned by third-party licensors and that is displayed in any form in the Website, and all text graphics, pictures, information, data, software, and files relating to the Website (the “Content”) are the sole property of Heritage or our affiliates, as applicable.

The Heritage logo and any Website product or service names, logos, or slogans that may appear on the Website or elsewhere are the sole property of Heritage or our affiliates, as applicable, and may not be copied, imitated or used, in whole or in part, without our prior written permission.

We own all present and future copyright, registered and unregistered trademarks, design rights, unregistered designs, database rights and all other present and future intellectual property rights and rights in the nature of intellectual property rights existing in or in relation to the Website. If and to the extent that any such intellectual property rights vest in you by operation of law or otherwise, you agree to do any and all such acts and execute any and all such documents, now or in the future, as we may reasonably request in order to assign such intellectual property rights back to us.

You shall retain ownership of all copyright in data you upload or submit to our site. Without prejudice to our rights and obligations in relation to your personal data as set out in detail in our Privacy Policy, you grant us a world-wide, perpetual, exclusive, royalty-free, non-terminable license to use, copy, distribute, publish and transmit such data in any manner. 

We do not warrant or represent that the content of the Website does not infringe the rights of any third party. Each time you log in to your Account you will need to enter your email address and password and you may be required to answer one or more security questions. Your username and password are unique to you and are not transferable.

You are responsible for all information and activity on the Website by anyone using your username and password. Accordingly, you must take steps to protect the confidentiality of your username and password and you must notify us immediately if you become aware of any disclosure, loss, theft or unauthorised use of the same. Notwithstanding the above, you:

You understand and agree that your access and use of the Website is subject to certain risks and that you are solely responsible for determining the nature, potential value, suitability, and appropriateness of these risks for yourself. Heritage does not give any advice or recommendations regarding the Content. You understand and agree that you access and use the Website at your own risk. You understand and agree that Heritage will not be responsible for any communication failures, disruptions, errors, or distortions you may experience when using the Website. You agree and acknowledge that Heritage is not a fiduciary nor owes any duties to you regarding the Website.

Heritage may engage in promotion of the Content through various communication channels such as their social media accounts. Heritage is not responsible for any such communications and/or promotional activities carried out by third parties and will not be liable to you in relation to any such communications and/or promotional activities.

THIS INDEMNITY IS IN ADDITION TO, AND NOT IN LIEU OF, ANY OTHER INDEMNITIES THAT MAY BE SET FORTH IN A WRITTEN AGREEMENT BETWEEN YOU AND Heritage, ITS AFFILIATES OR ANY HERITAGE PARTIES.

The Website may include hyperlinks to other websites or resources (collectively, “External Sites”), which are provided solely as a convenience to our users.  We have no control over any External Sites.  You acknowledge and agree that we are not responsible for the availability of any External Sites, and that we do not endorse any advertising, products or other materials on or made available from any External Sites.  Furthermore, you acknowledge and agree that we are not liable for any loss or damage which may be incurred as a result of the availability or unavailability of the External Sites, or as a result of any reliance placed by you upon the completeness, accuracy or existence of any advertising, products or other materials on, or made available from, any External Sites.

These Terms constitute the entire agreement between the Parties regarding its subject matter and supersede and invalidate all other prior representations, arrangements, understandings, correspondence, negotiations and agreements relating to the same subject matter (whether oral or in writing, express or implied). These Terms are concluded in the English language and all communications including any notices or information being transmitted shall be in English (save where established otherwise by Heritage). In the event that these Terms or any part of it is translated (for any proceedings, for your convenience or otherwise) into any other language, the English language text of these Terms shall prevail (save where established otherwise by Heritage).

• Waiver

These Terms shall not be waived in whole or in part except where agreed by the Parties in writing. The delay of enforcement or the non-enforcement of any of the terms of these Terms by any party shall not be construed as a waiver of any of the other rights of that party arising out of the breach or any subsequent breach of any of these Terms and no right, power or remedy conferred upon or reserved for any party in these Terms is exclusive of any other right, power or remedy available to that party and each such right, power or remedy shall be cumulative.

• Confidentiality

You undertake that you shall not at any time after you have been provided a unique user name by us, divulge or communicate to any person (except to professional representatives or advisers or as may be required by law or any legal or regulatory authority) any Confidential Information, and will use best endeavours to prevent the unauthorised publication or disclosure of any Confidential Information, and will only use such Confidential Information for the purposes of proposing, considering or making transactions through our site. Confidential Information for these purposes of this clause shall include all information in whatever form (including in visual, oral or electronic form) relating to us or any investor or seller (including all investor or business profiles) or an individual or a company that was previously an investor or a seller, which is provided or disclosed through our site (or to any employees or agents) in connection with the use of our site.

• Relationship

Nothing in these Terms is intended to or will be used to establish any partnership or joint venture between the parties, nor authorise any party to make any commitments for or on behalf of any other party.

• Third Party Rights

Other than the entities within the Heritage group (Heritage and its affiliates), a person who is not a party to these Terms has no right to enforce any of these Terms.

• Notices

Any notice or other communication given by either party to the other in connection with the Terms shall be in writing and delivered by hand or sent by pre-paid first class post (or an equivalent next day delivery service) to that party’s registered address (if a company) or its principal place of business or residential address (if an individual) as communicated or disclosed to that other Party, or sent by e-mail to the e-mail address notified to the other party. Our e-mail address for the service of notices is   contact@HeritageMA.com. Any notice or other communication will be deemed to have been received if delivered by hand, on signature of delivery receipt or at the time the notice is left at the proper address, or if sent by e-mail, at 9.00 am on the next working day after it is sent or if sent by post (or other delivery service) on the second working day after posting. All correspondence and communication between you and us will be in the English language (save where established otherwise by Heritage).

• Tax

You should take your own tax advice. No warranty or representation is made in relation to your tax position by Heritage or any Heritage Parties.

• Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of Switzerland without regard to any choice or conflict of laws rules. Any dispute, controversy, or claim, whether contractual or non-contractual, arising out of or in connection with these Terms, or the breach, termination or invalidity thereof, or any other issue which shall arise in virtue of these Terms, shall be referred to and finally settled by the competent Courts of Lugano.
